This Constitution is adopted by the founding members of the Siyasar Aurat Foundation (“the Society”) to govern the Society and its activities.
1. Name and Seat
1.1 The name of the Society shall be “Siyasar Aurat Foundation” and it shall have its principal place of activity in Srinagar, Kashmir.
1.2 The Society may open branches in any part of Kashmir or outside Kashmir.
2. Aims and Objectives
The Aims and Objectives of the Society are as follows:
2.1 To fight crimes against women
2.2 To work towards securing better protection for women against criminal activity and other forms of degradation
2.3 To advance the cause of women’s emancipation
2.4 To work towards improving women’s economic and financial status
2.5 To promote women entrepreneurs and self-help schemes
3. Executive Committee
3.1 There shall be an Executive Committee to direct and execute the activities of the Society, with a view to promoting its aims and objectives.
3.2 The Executive Committee shall have a Chairperson (“the Chairperson”) elected by all fully paid-up members of the Society by simple majority vote.
3.3 Members of the Executive Committee shall be appointed by the Chairperson.
4. Membership
4.1 Any person, of whatever nationality or affiliation, shall be entitled to apply to the Chairperson for admission to the Society as an ordinary member. Fees may be levied on an annual basis on those seeking admission or on those already admitted.
4.2 The Society may confer honorary membership on any person deemed to be deserving of such status.
5. Finance
5.1 The Society may receive funds and donations from any person or body for the purpose of advancing its aims and objectives.
5.2 The Chairperson shall appoint a Treasurer to manage the financial affairs of the Society and he/she shall be a member of the Executive Committee.
5.3 It shall be the Treasurer’s duty to keep accurate and full records of all financial transactions of the Society and to prepare and present to all members a set of financial accounts of each financial year.
5.4 The Society is a non-profit-making entity. Accordingly, no member of officer of the Society shall be entitled to any remuneration out of Society funds. Any profit or gain generated by the Society’s activities shall be used solely for the purpose of advancing the Society’s aims and objectives.
6. Meetings & Decision-making
6.1 The Society shall have one Annual General Meeting, to which all members shall be invited. The Chairperson shall preside over this meeting and decide, in consultation with the Executive Committee, the agenda for the meeting. The agenda for this meeting shall be confined to matters that affect the Society’s overall functioning and that deserve consultation with all members.
6.2 The power to make day-to-day decisions about the Society’s affairs and activities shall be conferred on the Executive Committee acting by simple majority, subject to the Chairperson’s veto.
6.3 The Executive Committee may decide to delegate any particular task or project to a sub-committee or to any other person.
